DotShoppingCart open source edition is licensed under DotShoppingCart Public License. It's basically a MPL 1.1 plus the DotShoppingCart powered logo requirement on every single page.

Is it possible to upgrade from the Open Source Edition to the DotShoppingCart Suite Edition? We want to use this product but don't know if our store is going to take off or not. Once (if) it does we would then be able to spring for the Suite Edition, is this possible and how difficult would it be?

The difference between these two editions are huge. We currently don't support migration from the current V2 open source edition to Suite edition. You might want to wait unless V3 open source edition which might make the migration a lot easier.
